Terms of Service for Pracadium.

These terms explain the rules for using the Pracadium website and platform, including account responsibilities, acceptable use, data ownership, and service limitations.

1. Acceptance of Terms

These Terms of Service govern your access to and use of the Pracadium website, platform, services, content, and related features. By accessing or using Pracadium, you agree to these terms on behalf of yourself and, where applicable, the organization you represent.

If you do not agree to these terms, do not use the website or platform. If your organization has a separate written agreement with Pracadium, that agreement controls where it conflicts with these terms.

2. Services

Pracadium provides software for counseling programs to manage clinical training workflows, including practicum and internship hour tracking, supervision records, placement management, evaluations, competency documentation, and accreditation evidence reporting.

The platform is designed to support your program's processes. It does not replace your institution's policies, professional judgment, accreditation obligations, site requirements, or legal responsibilities.

3. Accounts and Authorized Users

Users must provide accurate information, keep login credentials secure, and use the platform only for authorized purposes. Organizations are responsible for assigning appropriate roles and permissions to students, faculty, coordinators, site supervisors, administrators, and other users.

You are responsible for activity that occurs through accounts under your control. Notify Pracadium promptly if you believe credentials have been compromised or access is no longer appropriate for a user.

4. Acceptable Use

You may not misuse Pracadium, interfere with the platform, attempt unauthorized access, upload malicious code, reverse engineer the service, scrape protected areas, or use the platform in a way that violates applicable law or another party's rights.

You may not use Pracadium to store content that is unlawful, deceptive, infringing, harmful, or unrelated to legitimate clinical training, program administration, or authorized institutional activity.

5. Customer Data

Your organization retains ownership of the data it submits to Pracadium. Customer data may include student records, hour logs, supervision records, evaluations, placement information, site records, signatures, and related documentation.

You grant Pracadium the limited rights needed to host, process, secure, transmit, display, and support customer data for the purpose of providing and improving the services. You are responsible for ensuring that data submitted to Pracadium is accurate, authorized, and appropriate for the platform.

6. Privacy and Security

Pracadium takes data protection seriously and uses administrative, technical, and operational safeguards designed to protect platform records. No system can be guaranteed to be completely secure, and you are responsible for using reasonable security practices within your organization.

7. Accreditation and Compliance

Pracadium may help organize records and generate reports relevant to accreditation, program evaluation, and internal review. Pracadium does not guarantee accreditation, compliance outcomes, approval by any accreditor, or satisfaction of any legal or institutional requirement.

Your organization remains responsible for determining applicable standards, configuring program requirements, reviewing reports, validating records, and making academic, clinical, remediation, gatekeeping, or accreditation decisions.

8. Intellectual Property

Pracadium and its website, platform, software, designs, workflows, text, graphics, trademarks, and related materials are owned by Pracadium or its licensors. These terms do not transfer ownership of the platform to you.

Subject to these terms and any applicable agreement, Pracadium grants authorized users a limited, non-exclusive, non-transferable right to access and use the platform for internal program and clinical training purposes.

9. Third-Party Services

The website or platform may include links, integrations, infrastructure providers, analytics, security services, or other third-party tools. Pracadium is not responsible for third-party websites or services that it does not control.

Your use of third-party services may be subject to additional terms, privacy policies, or institutional agreements.

10. Availability and Changes

Pracadium may update, improve, suspend, or discontinue features from time to time. We aim to provide a reliable service, but we do not guarantee uninterrupted availability or error-free operation.

We may update these terms as the service evolves. When changes are material, we will use reasonable efforts to provide notice through the website, platform, or another appropriate channel.

11. Disclaimers

Pracadium is provided on an as-is and as-available basis to the fullest extent permitted by law. The platform is a software tool and does not provide legal, clinical, accreditation, regulatory, or professional advice.

You are responsible for reviewing platform outputs, reports, records, and configurations before relying on them for institutional, academic, clinical, accreditation, or legal purposes.

12. Limitation of Liability

To the fullest extent permitted by law, Pracadium will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities arising from your use of the website or platform.

Where liability cannot be excluded, Pracadium's liability will be limited to the maximum extent permitted by applicable law and any separate written agreement between Pracadium and your organization.

13. Suspension and Termination

Pracadium may suspend or terminate access if a user or organization violates these terms, creates security risk, misuses the platform, fails to pay applicable fees under a separate agreement, or uses the service in a way that may harm Pracadium, users, or third parties.

Upon termination, access to the platform may end. Data export, retention, and deletion may be governed by your organization's agreement with Pracadium, applicable law, and Pracadium's operational policies.
